white label assistant terms
White-Label Assistant Terms (for US Firms)
Effective date: 2026-10-16
Status: DRAFT for Lena's live legal check. Goes live only when FLAG_WHITELABEL_ASSISTANT is on.
These terms apply when a firm subscribes to the TaxProsRated white-label AI assistant (the "Assistant") from Aurum Transfers Limited (trading as TaxProsRated) ("we", "us"). The firm that signs the order form is "you" or the "Firm". They add to our Terms of Use and Sales Terms. The White-Label Data Processing Addendum (the "DPA") forms part of these terms.
1. Who can buy
US firms only. You must be a business established in the United States and buy for business use. We don't sell the Assistant to consumers or to firms outside the US, including the EU/EEA and UK.
2. What you get
A version of our AI assistant that you can place on your website under your brand, set up to your configuration, which answers general tax questions and can collect a short intake summary for your firm.
3. Your configuration
- You set and approve the configuration: the brand, the topics, any intake questions, and any text or links you add. Nothing goes live until you approve it.
- You're responsible for what you add, and for making sure it's accurate, lawful and allowed by your professional rules.
- We may refuse or remove configuration that breaks these terms, the law, or our content rules (for example, wording that promises outcomes, or asks for SSNs, account numbers or full returns).
4. What the Assistant does and doesn't do
- The Assistant gives general information only. It doesn't give tax, legal or financial advice, prepare returns, or represent anyone.
- It always shows our disclaimer, which you can't remove or hide: "This content is general information, not tax, legal or financial advice. Talk to a qualified tax professional about your situation."
- It always tells users it's an AI: "You're chatting with an AI assistant." It never claims to be a person or a member of your staff.
- It doesn't calculate a user's tax, say whether they must file, or say whether they qualify for anything.
5. Your advice is yours
You're responsible for any advice your staff give, including advice given after reading an intake summary or an Assistant conversation. The Assistant is a tool for gathering and sharing general information. It doesn't create a relationship between us and your clients.
6. Intake summaries and data
- Intake summaries go only to your firm. We don't send them to anyone else.
- We delete intake summaries on our side within 30 days of creating them. Keep your own copy if you need one.
- We never sell intake summaries or share them with other firms, and we don't use them for advertising or to train AI.
- For personal information users give the Assistant, you're the controller and we're your processor (a service provider under US state privacy laws). The DPA sets out the details.
- You must give users any privacy notice the law requires, and link to it from the Assistant.
- Configure the Assistant to collect only what you need. Don't use it to collect SSN/TIN, account numbers, full returns or other sensitive data.
7. Fees and billing
- Fees are [price]/[period], in USD, tax-exclusive. Taxes may apply where required.
- Invoiced directly by us via PayPal. PayPal processes payments and we never see your card details.
- The subscription renews automatically at the end of each period unless you cancel. We'll remind you 7 to 30 days before an annual renewal and give at least 30 days' notice of any price change. You can cancel online or by emailing support@taxprosrated.com, effective at the end of the paid period.
- Refunds follow our Sales Terms §3 (faulty or not delivered, within 7 days).
8. Acceptable use
Don't use the Assistant to: give the impression it's a person or a licensed professional; make guarantees about outcomes; collect sensitive data; send marketing to users without their consent; or break any law or professional rule.
9. No guarantee
The Assistant and its answers are provided as is, with no guarantee of accuracy, completeness or fitness for a purpose. AI answers can be wrong.
10. Liability
- Our total liability under these terms is capped at the fees you paid us for the Assistant in the 12 months before the claim, except where the law doesn't allow a limit.
- We're not liable for indirect or consequential loss, lost profits, tax penalties or interest, or for advice given by you or your staff.
11. Your indemnity
You'll indemnify us (cover our losses, costs and reasonable legal fees) for claims arising from: advice you or your staff give; your configuration and any content you add; your breach of these terms, the DPA or the law; and your dealings with your clients.
12. Term and ending
Either side can end the subscription at the end of a paid period. We may suspend or end it straight away if you seriously breach these terms. When it ends, the Assistant stops working on your site and we delete or return data as the DPA says.
13. General
Jamaican law applies. If any part of these terms can't be enforced, the rest still applies. We may update these terms with at least 30 days' notice; if you don't agree, you can cancel before the change applies.
